1. Who these terms cover
These Terms & Conditions govern the use of the monika.agency website and the services described on it, offered by FOP Pimenov Volodymyr Volodymyrovych (Individual Entrepreneur Volodymyr Volodymyrovych Pimenov), registered in Ukraine under RNOKPP 3080422932, registered address 96 B. Tena St., apt. 40, Zhytomyr, 10024, Ukraine ("Monika", "we", "us"). By using this site or engaging Monika for Monika WAAS or Monika SYSTEM, you ("the client", "you") agree to these terms.
2. Services described
Monika offers two services: Monika WAAS, a $99-a-month website-as-a-service described on the WAAS page, and Monika SYSTEM, a one-time $2,000 website-plus-strategy build described on the SYSTEM page. The specific terms for each are set out in the Public Agreement, which forms part of this contract.
3. Client responsibilities and materials
You are responsible for the accuracy of any information, references, photos, logos, and materials you provide. Monika is not responsible for delays caused by missing or late materials, though our process is built to fill common gaps (see "How it works" on the WAAS and SYSTEM pages).
4. Delivery timeline
Both services are delivered within 7 days of Monika receiving the required, available information and materials from the client. This timeline does not begin until materials are received.
5. Revisions
Monika WAAS includes up to 2 hours of minor monthly changes, as described on the WAAS page. Monika SYSTEM includes revisions through the approval stage described on the SYSTEM page. Structural redesigns or new functionality outside these scopes are quoted separately.
6. Intellectual property
For Monika SYSTEM, ownership of the final website, its copy, and its design transfers to the client upon full payment, except for any third-party assets (fonts, stock imagery, plugins) subject to their own licenses. For Monika WAAS, the website, domain, and hosting remain Monika's property and infrastructure unless and until a buyout is completed under the terms of the Public Agreement.
7. Domains, hosting & plugins
Under Monika WAAS, Monika registers and manages the domain, hosting, and required plugins as part of the monthly fee. Under Monika SYSTEM, the client selects and pays for domain, hosting, and plugins directly, and controls that infrastructure from the outset.
8. Third-party services
Monika may use third-party services (hosting providers, plugin developers, AI-assisted design tools) to deliver the site. Monika is not responsible for outages or changes originating from third-party providers, but will act in good faith to resolve issues promptly.
9. Payment
Payment is by invoice. Monika WAAS is billed monthly at $99. Monika SYSTEM is billed as $1,000 upfront and $1,000 upon client approval of the completed build. No card checkout is used on this site, and no fees apply beyond what is stated in the applicable invoice.
10. Cancellation & termination
Monika WAAS may be cancelled at any time; see the Refund Policy for what happens to payments already made. There is no freeze or pause option: an unpaid WAAS account is switched off. Monika SYSTEM is a defined, one-time project; termination terms before completion are set out in the Public Agreement.
11. Limitations & disclaimers
Monika does not guarantee specific search rankings, traffic, leads, or sales outcomes. Case studies and portfolio figures reflect past results for past clients and are not a promise of future performance. Monika's total liability under this agreement is limited to the amount paid by the client in the 12 months preceding a claim, to the extent permitted by applicable law.
12. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, internet or infrastructure outages, or actions of third-party providers.
13. Governing law & disputes
These terms are governed by the laws of Ukraine. Any dispute arising from these terms or from Monika's services will first be addressed through direct negotiation between the parties; if it cannot be resolved that way, it is subject to the jurisdiction of the courts of Ukraine, unless a separate written agreement between Monika and the client specifies otherwise.
14. Changes to these terms
Monika may update these terms from time to time. Material changes will be reflected on this page with an updated "last updated" date. Continued use of Monika's services after a change constitutes acceptance of the updated terms.
